1. Acceptance of Terms
By accessing or using the Growvest platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Growvest, Inc. ("Growvest," "we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting to the Platform. Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms.
2. Eligibility and Accredited Investor Requirement
The Platform is available only to individuals and entities that qualify as "accredited investors" as defined under Rule 501 of Regulation D promulgated under the Securities Act of 1933, as amended. By using the Platform, you represent and warrant that you meet and will continue to meet the applicable accredited investor criteria. You also represent that you are at least 18 years of age, have the legal capacity to enter into these Terms, and are not prohibited from using the Platform under applicable law. Growvest reserves the right to request documentation verifying your accredited investor status at any time and to suspend or terminate your access if such status cannot be confirmed.
3. Use of the Platform
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not: (a) use the Platform in any way that violates any applicable federal, state, or local law or regulation; (b) engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform; (c) use any robot, spider, or other automated device or process to access the Platform for any purpose; (d) introduce any viruses, Trojan horses, or other material that is malicious or technologically harmful; (e) attempt to gain unauthorized access to any portion of the Platform or any systems or networks connected to the Platform; or (f) impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity.
4. No Investment Advice
Nothing on the Platform constitutes investment, legal, tax, or financial advice. All information provided is for informational purposes only. Growvest is not a registered investment adviser, broker-dealer, or financial planner. Any investment decisions you make are solely your own, and you should consult with a qualified financial, legal, and tax professional before making any investment. Securities offered through the Platform are exempt from registration under Regulation D, Rule 506(c) of the Securities Act of 1933. Past performance is not indicative of future results. All investments involve risk, including the potential loss of principal.
5. Platform Accounts
To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. Growvest will not be liable for any loss or damage arising from your failure to comply with this section. We reserve the right to disable any account at any time in our sole discretion, including if we believe you have violated these Terms.
6. Intellectual Property
The Platform and its entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, and audio — are owned by Growvest, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Platform without our prior written consent.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Growvest and its officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from: (a) your access to or use of, or inability to access or use, the Platform; (b) any conduct or content of any third party on the Platform; (c) any content obtained from the Platform; or (d) unauthorized access, use, or alteration of your transmissions or content. In no event will Growvest's aggregate liability exceed the greater of one hundred dollars ($100) or the amounts paid by you to Growvest in the twelve months preceding the claim.
8. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Growvest expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components, or that any defects will be corrected. We do not warrant or make any representations regarding the accuracy, reliability, or completeness of any content on the Platform.
9. Indemnification
You agree to indemnify, defend, and hold harmless Growvest, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including any use of the Platform's content, services, and products other than as expressly authorized in these Terms.
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Judgment on the award rendered by the arbitrators may be entered in any court having jurisdiction. You waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.
11. Termination
Growvest may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
